1. Introduction
Welcome to GriddleOS! These Terms and Conditions outline the rules and regulations for the use of the GriddleOS Website and Service, located at https://griddleos.com.
By accessing this website and using our services, we assume you accept these terms and conditions. Do not continue to use GriddleOS if you do not agree to take all of the terms and conditions stated on this page.
2. Definitions
- "Service" refers to the restaurant management software provided by GriddleOS.
- "User", "You" refers to any individual or entity using our Service.
- "We", "Us", "Our" refers to GriddleOS.
3. License to Use
Unless otherwise stated, GriddleOS and/or its licensors own the intellectual property rights for all material on GriddleOS. All intellectual property rights are reserved. You may access this from GriddleOS for your own personal use subjected to restrictions set in these terms and conditions.
You must not:
- Republish material from GriddleOS
- Sell, rent, or sub-license material from GriddleOS
- Reproduce, duplicate, or copy material from GriddleOS
- Redistribute content from GriddleOS
4. User Accounts
When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.
5. Subscription and Payments
Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis (such as monthly or annually). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.
6. Fees
Use of GriddleOS, including the ability to connect and sync data with third-party point-of-sale systems such as Clover, is included as part of your GriddleOS subscription plan described in Section 5 (Subscription and Payments). We do not charge any separate fee through the Clover App Market or any other third-party marketplace for use of the Service.
7. Confidentiality, Data, and Ideas
Each party agrees to protect the other party's non-public business, technical, and financial information ("Confidential Information") with the same degree of care it uses to protect its own confidential information, and not to disclose it except to employees, contractors, or agents who need to know it, or as required by law. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party prior to disclosure, is independently developed without use of the disclosing party's Confidential Information, or is rightfully received from a third party without restriction.
We may use data obtained through the Service, including data synced from connected point-of-sale integrations, to provide and improve the Service, for research and development, and in an aggregated and de-identified form for analytics purposes. Any personal information within that data is handled in accordance with our Privacy Policy.
If you submit ideas, suggestions, or feedback about the Service ("Ideas"), you agree that such Ideas are not confidential and are not subject to any obligation of confidentiality, and that we may use them for any purpose without any obligation to compensate you.
8. Compliance with Privacy Laws
We process personal information obtained through the Service, including through connected point-of-sale integrations, solely to provide, maintain, and improve the Service on your behalf. We do not sell personal information as defined under the CCPA, and we do not use, retain, or disclose personal information for any purpose other than providing the Service, or as otherwise permitted by applicable privacy laws. We limit our collection, use, and retention of personal information to what is reasonably necessary and proportionate to provide the Service.
9. Data Subject Rights — Assistance with Requests
If we receive a request from an individual to exercise their rights under applicable privacy laws (such as the right to access, correct, or delete personal information) regarding data processed through the Service, we will direct that individual to you, where appropriate, and will provide reasonable assistance to help you respond to that request. We will promptly notify you if we receive any complaint, notice, or communication relating to either party's compliance with applicable privacy laws in connection with the Service.
10. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.
11. Limitation of Liability
In no event shall GriddleOS, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
12. Governing Law
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which GriddleOS operates, without regard to its conflict of law provisions.
13. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
